A Section 8 company, registered under the Companies Act, 2013, or a Section 25 Company as per the Companies Act, 1956, is an organization with the objective of promoting fine arts, science, literature, or knowledge sharing for charitable purposes. Regulated by the Companies Act, these limited companies are granted an exclusive license under Section 8, subject to specific conditions.
Individual, HUF, or limited company eligible to start a Section-8 company in India. Two or more persons acting as shareholders or directors must fulfill requirements. At least one director must be a resident of India .Objectives should focus on promoting sports, social welfare, science, art, education, and financial assistance to lower income groups. No distribution of profits to directors or members; defined three-year project plan and vision required.
Fill out a RUN application to reserve a name. Along with Form INC-12 for awarding a license under a Section 8 company, submit an application in Form No. RD-1 to request approval for the conversion of an existing company to a Section 8 company.
A Section 8 Company can be either a private or a public company. The classification depends on the structure chosen during the incorporation process.
